Confirmation statement

The yearly filing that tells Companies House your company record is up to date. We prepare it and file it for you.

What it is

A confirmation statement, Companies House form CS01, is the filing a UK company sends at least once a year. It confirms that the public record is correct, and it can record certain updates such as SIC codes and shareholder information.

It is due within 14 days of the end of the company’s review period. That period is usually 12 months. If it is missed, Companies House can chase the company and, in time, start the process to strike it off.

You send the details, we check them, and we file the confirmation statement with Companies House.

Companies House explains the filing on GOV.UK (opens in a new tab).

What’s included

  • A check of the details you send
  • Preparation of the confirmation statement
  • Filing with Companies House
  • The Companies House fee, shown separately and included in the total
  • A copy of the acceptance receipt once Companies House has accepted the filing

What’s not included

  • Company accounts
  • A company secretarial retainer
  • Company formation
  • Separate forms for a new director, a resignation, or a change of registered office. Tell us if those have changed. We will say what is needed before we do any work beyond the confirmation statement. This price covers the confirmation statement only.

What you need to send

  • The company name and company number
  • The registered office postcode, so we match the right company
  • Whether anything on the record has changed
  • Your name, email, phone number, and role
  • The 6-character company authentication code, and each director’s name, date of birth, and 11-character personal code. We use them only to file.

CS01 is the confirmation statement form

Companies House calls the form CS01. A search for “CS01”, “file a confirmation statement”, or “annual return” is pointing at this filing. The annual return was the name used before 30 June 2016.

We prepare CS01 from the company number and the changes you tell us about, then file it with Companies House. You send the details. We prepare the form and submit it.

When the confirmation statement is due

Companies House gives every company a review period, usually 12 months. The confirmation statement is due within 14 days of that period ending. It can be filed before the review period ends. There is no need to wait until the fortnight is nearly gone.

The date is on the company’s public overview, labelled as the next confirmation statement date. If you are not sure, send the company number and we will check it with you. The confirmation statement deadline page explains review periods, filing early, and what a late statement means.

Not the accounts, and not the old annual return

A confirmation statement tells Companies House that the company record is correct. Accounts tell Companies House about the company’s finances. They have different deadlines. Accounts can attract an automatic late-filing penalty. A confirmation statement does not, but missing it is still an offence and can lead towards strike-off.

The annual return was the form used before 30 June 2016. If a letter, an accountant, or an old bookmark says “annual return”, they mean this filing. We do not prepare accounts.

We prepare it and file it

You send the company number and whether anything has changed, and you pay £59.99 on the order page. We then file the confirmation statement with Companies House. The order form asks for the company authentication code and each director’s personal code. We use them only to file. If anything is missing or needs a fix, we email you.

Dormant companies still need a confirmation statement. So do companies that have just been formed, once the first review period ends. The fee breakdown shows the £9.99 service fee and the £50 Companies House fee. Questions about deadlines, dormant companies, and the authentication code are in the FAQ.
